Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DECISYN™ ("Company," "we," "us," or "our"), governing your access to and use of the SyncHQ Pro™ platform, including all associated websites, mobile applications, APIs, and related services (collectively, the "Services").

By accessing or using the Services, creating an account, or clicking "I Agree" (or a similar acceptance mechanism), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Services. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of those revised Terms.

2. Service Description

SyncHQ Pro is a cloud-based service management platform designed for home service businesses, professional services, and service organisations. The Services include, but are not limited to:

  • Scheduling and Dispatch Management: Intelligent job scheduling, calendar management, technician dispatching, and drag-and-drop scheduling tools
  • Customer Relationship Management (CRM): Customer profiles, contact management, communication history, and customer interaction tracking
  • Invoicing and Payment Processing: Invoice generation, online payment collection via integrated payment gateways, billing management, and financial reporting
  • AI-Powered Tools: Artificial intelligence features including automated job recommendations, predictive scheduling, smart customer communication drafting, and business insights
  • Customer Booking Portal: Online booking interface allowing your end customers to request and schedule service appointments directly
  • Route Optimisation: GPS-based route planning, real-time traffic integration, multi-stop route optimisation, and technician location tracking
  • Inventory Management: Parts and materials tracking, stock level monitoring, purchase order management, and warehouse operations
  • Reviews and Reputation Management: Customer review collection, online reputation monitoring, review response tools, and satisfaction tracking
  • Reporting and Analytics: Business performance dashboards, custom reports, key performance indicators (KPIs), and data visualisations
  • Mobile Applications: Field technician mobile apps for iOS and Android, real-time job updates, and offline capability
  • Accounting Integration: QuickBooks Online synchronisation and other third-party accounting system integrations
  • Communication Tools: SMS notifications, email automation, and customer messaging through integrated communication services

We reserve the right to modify, update, add, or remove features of the Services at any time without prior notice. We will make reasonable efforts to notify Users of material changes to core functionality.

3. Subscription Plans and Free Trial

SyncHQ Pro is offered as a paid subscription service with multiple tiers designed for businesses of different sizes. Please visit our Pricing page for current rates. By using the Services, you acknowledge and agree to the following terms:

  • Free Trial: New users receive a 30-day free trial of the Growth tier with full access to all features included in that plan. No credit card is required to start the trial. After 30 days, you may request an extension for up to 90 days total, subject to approval at DECISYN's sole discretion. At the end of the trial period, you must subscribe to a paid plan to continue using the Services.
  • Subscription Tiers: The Services are available in three paid tiers — Essentials, Growth, and Scale — each with different user limits, AI analytics allocations, and feature availability. Details of each tier, including pricing, are available on our Pricing page.
  • Billing: Subscriptions are billed monthly. You authorise DECISYN to charge the applicable subscription fee to your chosen payment method on a recurring monthly basis. Prices are subject to change with 30 days' prior notice.
  • Upgrades and Downgrades: You may upgrade or downgrade your subscription tier at any time. Upgrades take effect immediately, with pro-rated charges applied. Downgrades take effect at the start of the next billing cycle.
  • User Responsibility for Data Backups: You are solely responsible for maintaining independent backups of all data you enter into the Services. We strongly recommend exporting your data regularly. DECISYN is not responsible for any data loss, corruption, or unavailability.
  • Cancellation: You may cancel your subscription at any time. Upon cancellation, your access continues until the end of the current billing period. After that, you will have a 30-day grace period to export your data before your account is deactivated.
  • Refunds: Subscription fees are non-refundable except where required by applicable law. If you cancel during the free trial period, no charges will be incurred.

4. Account Registration and Security

4.1 Account Creation

To access certain features of the Services, you must register for an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during the registration process
  • Maintain and promptly update your account information to keep it accurate, current, and complete
  • Keep your password confidential and not share your login credentials with any third party
  • Immediately notify us of any unauthorised access to or use of your account
  • Accept responsibility for all activities that occur under your account

4.2 Account Security

You are responsible for maintaining the security and confidentiality of your account credentials. DECISYN will not be liable for any loss or damage arising from your failure to protect your account credentials. We recommend enabling multi-factor authentication (MFA) when available.

4.3 Account Types

The Services may offer different account types (e.g., Owner, Admin, Technician) with varying levels of access and functionality. The account owner is responsible for managing user permissions within their organisation and ensuring that all users under their account comply with these Terms.

5. User Responsibilities

5.1 Data Accuracy

You are solely responsible for the accuracy, quality, legality, and integrity of all data, content, and information you submit to the Services ("User Data"). This includes customer records, job details, invoices, financial information, and any other data entered into the platform. DECISYN does not verify or validate the accuracy of User Data.

5.2 Legal Compliance

You agree to use the Services in compliance with all applicable local, state, national, and international laws, regulations, and ordinances. You are responsible for obtaining all necessary licences, permits, and authorisations required for your business operations. DECISYN is not responsible for ensuring your compliance with any laws, regulations, or industry-specific requirements.

5.3 Tax Obligations

You are solely responsible for determining, calculating, collecting, reporting, and remitting all applicable taxes (including but not limited to GST, sales tax, service tax, income tax, and any other applicable taxes) in connection with your business operations. The invoicing features of SyncHQ Pro are provided as tools to assist you, but DECISYN does not provide tax calculation services and makes no representation regarding the tax implications of any transaction.

5.4 Not Legal or Financial Advice

The Services, including all features, tools, reports, analytics, AI-generated content, and documentation, are provided for informational and operational purposes only. Nothing in the Services constitutes legal advice, financial advice, tax advice, or professional consulting of any kind. You should consult qualified legal, financial, tax, and other professional advisors for advice specific to your situation. DECISYN expressly disclaims any liability for decisions made based on information provided by the Services.

6. Intellectual Property

6.1 DECISYN Ownership

The Services, including all software, code, algorithms, designs, user interfaces, graphics, logos, trademarks, service marks, trade names, documentation, and all other intellectual property embodied in or associated with the Services, are and shall remain the exclusive property of DECISYN and its licensors. These Terms do not grant you any right, title, or interest in the Services except for the limited licence expressly set forth herein.

6.2 Limited Licence

Subject to your compliance with these Terms, DECISYN grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services solely for your internal business purposes during the term of your account. This licence does not include the right to:

  • Copy, modify, adapt, or create derivative works of the Services or any part thereof
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services
  • Sell, resell, sublicence, lease, rent, or distribute the Services to any third party
  • Remove, alter, or obscure any proprietary notices or labels on the Services
  • Use the Services to build a competing product or service

6.3 User Content Licence

You retain all ownership rights in your User Data. By submitting User Data to the Services, you grant DECISYN a worldwide, non-exclusive, royalty-free licence to use, host, store, reproduce, modify, and display your User Data solely as necessary to provide, maintain, and improve the Services. This licence terminates when you delete your User Data or close your account, except for data retained in backups or as required by law.

6.4 Anonymised and Aggregated Data

DECISYN may collect, use, and disclose anonymised, de-identified, and aggregated data derived from your use of the Services for any lawful purpose, including but not limited to analytics, benchmarking, research, product improvement, and industry reporting. Such anonymised data will not identify you or any individual and is not considered User Data under these Terms.

6.5 AI and Machine Learning

The Services may utilise artificial intelligence and machine learning technologies to provide features such as job recommendations, predictive scheduling, and automated communications. DECISYN retains all rights in the AI models, algorithms, and any improvements derived from processing anonymised data. AI-generated outputs are provided as suggestions only and do not constitute professional advice.

6.6 Feedback Assignment

If you provide DECISYN with any feedback, suggestions, enhancement requests, or recommendations regarding the Services ("Feedback"), you hereby irrevocably assign to DECISYN all right, title, and interest in and to such Feedback. DECISYN shall be free to use, incorporate, modify, and commercialise any Feedback without restriction, attribution, or compensation to you.

7. Third-Party Services

The Services integrate with and rely upon various third-party services to provide functionality. By using the Services, you acknowledge that certain features depend on third-party providers and are subject to their respective terms of service and privacy policies:

  • Google Maps Platform: Route optimisation, geocoding, and mapping features are powered by Google Maps. Use of these features is subject to the Google Maps Platform Terms of Service.
  • OpenAI: AI-powered features including text generation, smart recommendations, and automated communications may utilise OpenAI's API services, subject to OpenAI's Terms of Use.
  • Stripe: Payment processing for international transactions is handled by Stripe. Your use of payment features is subject to the Stripe Services Agreement. DECISYN does not store your full credit card or bank account details.
  • Razorpay: Payment processing for India-based transactions is handled by Razorpay. Your use of payment features is subject to the Razorpay Terms of Use. DECISYN does not store your full credit card, UPI, or bank account details.
  • Twilio: SMS notifications and communication features are powered by Twilio, subject to Twilio's Terms of Service.
  • QuickBooks Online: Accounting integration features connect with Intuit QuickBooks, subject to Intuit's Terms of Service.
  • Microsoft Azure: The Services are hosted on Microsoft Azure cloud infrastructure, subject to Microsoft Azure Legal Information.

DECISYN is not responsible for the availability, accuracy, or functionality of third-party services. Any issues arising from third-party services are governed by the respective provider's terms and policies. Disruptions to third-party services may affect the availability or functionality of certain features within SyncHQ Pro.

8. Prohibited Uses

You agree not to use the Services, directly or indirectly, to:

  • Violate any applicable local, state, national, or international law, regulation, or ordinance
  • Infringe upon or violate the intellectual property rights, privacy rights, or other rights of any third party
  • Transmit, upload, or distribute any viruses, malware, worms, Trojan horses, ransomware, or other malicious or destructive code
  • Gain or attempt to gain unauthorised access to the Services, other user accounts, computer systems, or networks connected to the Services
  • Interfere with, disrupt, or create an undue burden on the Services, servers, networks, or infrastructure
  • Engage in data mining, scraping, crawling, or harvesting of any content or data from the Services without explicit written permission
  • Use the Services for any fraudulent, deceptive, or misleading purpose, including phishing, identity theft, or financial fraud
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code, underlying ideas, or algorithms of the Services
  • Use the Services to send unsolicited commercial messages, spam, or bulk communications in violation of applicable anti-spam laws
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Use the Services to store, transmit, or process any illegal, obscene, defamatory, threatening, harassing, or discriminatory content
  • Circumvent, disable, or interfere with any security-related features of the Services, including authentication, access controls, or encryption
  • Use the Services to facilitate money laundering, terrorist financing, or other financial crimes
  • Use automated scripts, bots, or other automated means to access the Services without prior written authorisation
  • Sublicence, resell, rent, lease, or otherwise commercially exploit the Services without DECISYN's prior written consent
  • Use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party's use and enjoyment of the Services
  • Attempt to probe, scan, or test the vulnerability of the Services or any associated system or network, or breach any security or authentication measures
  • Use the Services to collect, store, or process sensitive personal data (such as health information, biometric data, or government identification numbers) without appropriate legal basis and safeguards

DECISYN reserves the right to investigate and take appropriate legal action against anyone who, in DECISYN's sole discretion, violates these prohibited use provisions. Violations may result in immediate suspension or termination of your account without notice.

9. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DECISYN EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
  • WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE, RELIABLE, OR COMPLETE
  • WARRANTIES THAT DEFECTS IN THE SERVICES WILL BE CORRECTED IN A TIMELY MANNER
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY AI-GENERATED CONTENT, RECOMMENDATIONS, OR OUTPUTS

YOU ACKNOWLEDGE THAT YOU USE THE SERVICES AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM DECISYN OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

DECISYN DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, OR THAT ACCESS TO THE SERVICES WILL BE CONTINUOUS OR AVAILABLE AT ALL TIMES. THE SERVICES MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DECISYN, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
  • LOSS OF DATA, GOODWILL, OR USE
  • BUSINESS INTERRUPTION OR DOWNTIME
  • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
  • ANY DAMAGES ARISING FROM OR RELATED TO UNAUTHORIZED ACCESS TO, ALTERATION OF, OR LOSS OF YOUR DATA OR TRANSMISSIONS
  • ANY DAMAGES RESULTING FROM RELIANCE ON AI-GENERATED CONTENT, RECOMMENDATIONS, OR AUTOMATED OUTPUTS
  • ANY OTHER INTANGIBLE LOSSES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY

DECISYN'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO DECISYN FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR FREE TRIAL USERS, THE AGGREGATE LIABILITY SHALL NOT EXCEED $0 (ZERO DOLLARS / ZERO RUPEES). THIS LIMITATION IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND DECISYN.

THE LIMITATIONS IN THIS SECTION SHALL APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND REGARDLESS OF WHETHER DECISYN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless DECISYN and its directors, officers, employees, agents, affiliates, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:

  • Your use of or access to the Services
  • Your violation of these Terms or any applicable law or regulation
  • Your User Data, including any claims that your User Data infringes or violates the rights of any third party
  • Your interaction with your end customers, including any disputes regarding services rendered, payments, or communications facilitated through the Services
  • Any misrepresentation by you regarding your authority to act on behalf of your organisation
  • Your failure to comply with applicable tax, licensing, or regulatory obligations

DECISYN reserves the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of such claims. You will not settle any claim without DECISYN's prior written consent.

12. Modification of Terms

DECISYN reserves the right to modify, amend, or update these Terms at any time at its sole discretion. When we make changes, we will:

  • Update the "Effective Date" and version number at the top of this document
  • Provide notice of material changes via email to the address associated with your account, in-app notifications, or a prominent notice on the Services at least thirty (30) days before the changes take effect
  • Maintain prior versions of the Terms for reference upon request

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Services and close your account before the effective date. For material changes that alter your rights or obligations, we may require you to explicitly accept the updated Terms before continuing to use the Services.

13. Termination

13.1 Termination by DECISYN

DECISYN may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, at its sole discretion. Reasons for termination may include, but are not limited to:

  • Breach or suspected breach of these Terms
  • Engagement in prohibited uses as described in Section 8
  • Extended periods of inactivity
  • Discontinuation of the Services or any part thereof
  • Requests by law enforcement or government agencies
  • Suspected fraudulent, abusive, or illegal activity

13.2 Termination by You

You may terminate your account at any time by contacting us at support@servicesynchq.com or through the account settings in the Services. Upon your request, we will process your account closure in accordance with these Terms.

13.3 Effect of Termination

Upon termination of your account, regardless of the reason:

  • Your right to access and use the Services will immediately cease
  • You will have a thirty (30) day grace period from the date of termination to export your User Data using the data export tools provided by the Services
  • After the 30-day grace period, DECISYN will permanently delete your User Data from its active systems. Data may be retained in encrypted backups for an additional 90 days before final deletion
  • Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Dispute Resolution)

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, and other applicable Indian legislation, without regard to conflict of law principles. All disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

14.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services, including the breach, termination, or validity thereof, shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India (as amended). The arbitration shall be:

  • Conducted in Chennai, Tamil Nadu, India
  • Administered by a sole arbitrator mutually agreed upon by the parties, or appointed in accordance with the Arbitration and Conciliation Act, 1996
  • Conducted in the English language
  • Governed by the substantive laws of India

The arbitrator's decision shall be final and binding upon both parties, and judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against DECISYN. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

14.4 International Users

If you access the Services from outside India, you do so at your own initiative and are responsible for compliance with local laws to the extent applicable. However, these Terms shall be governed exclusively by Indian law, and any disputes shall be resolved in India as specified above, regardless of your location. You consent to the personal jurisdiction of the courts and arbitral tribunals in Chennai, Tamil Nadu, India.

15. Data and Privacy

15.1 Data Controller and Data Processor

For the purposes of applicable data protection laws:

  • You are the Data Controller for any personal data of your end customers, employees, and contractors that you collect, store, and process using the Services. You are responsible for ensuring a lawful basis for processing such data and for obtaining all necessary consents.
  • DECISYN is the Data Processor and processes such personal data on your behalf and in accordance with your instructions, solely to provide the Services. DECISYN will implement appropriate technical and organisational measures to protect the data processed on your behalf.

15.2 Your Privacy Obligations

As a Data Controller, you are responsible for:

  • Providing appropriate privacy notices to your end customers and data subjects
  • Obtaining all necessary consents for the collection and processing of personal data
  • Ensuring that your use of the Services complies with all applicable data protection and privacy laws
  • Responding to data subject access requests from your end customers

15.3 DECISYN's Privacy Practices

DECISYN's collection, use, and disclosure of your personal information (including account information and usage data) is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and DECISYN with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
  • Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
  • Waiver: The failure of DECISYN to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorised representative of DECISYN.
  • Assignment: You may not assign, transfer, or sublicence your rights or obligations under these Terms without DECISYN's prior written consent. DECISYN may assign or transfer these Terms, in whole or in part, without restriction and without notice to you, including in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets.
  • Force Majeure: DECISYN shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet outages, telecommunications failures, cyberattacks, or third-party service disruptions.
  • No Third-Party Beneficiaries: These Terms are for the benefit of DECISYN and you only and are not intended to confer any rights or benefits on any third party. No third party shall have any right to enforce any provision of these Terms.
  • Notices: DECISYN may provide notices to you via email to the address associated with your account, in-app notifications, or by posting on the Services. Notices from you to DECISYN must be sent to legal@servicesynchq.com and shall be deemed given when received.
  • Relationship of Parties: Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and DECISYN.

17. Compliance with Indian Law

DECISYN is incorporated and operates under the laws of India. The Services are designed and operated in compliance with the following Indian legislation:

  • Information Technology Act, 2000 (IT Act): DECISYN complies with the IT Act and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011. We implement reasonable security practices and procedures to protect sensitive personal data as required under the Act.
